1.Independent Contractor Relationship
The Consultant is engaged as an independent contractor. Nothing in this Agreement shall be construed to create an employment, partnership, or agency relationship between the parties.
2.Confidentiality
The Consultant agrees to keep all proprietary information, trade secrets, and business data of the Client strictly confidential during and after the term of this Agreement.
3.Intellectual Property
All work product, inventions, and deliverables created under this Agreement shall be the sole property of {{ client_name }} upon receipt of full payment.
4.Termination
Either party may terminate this Agreement with {{ notice_period | default("30 days") }} written notice. Upon termination, the Client shall pay for all services rendered through the termination date.
5.Governing Law
