The Consultant is engaged as an independent contractor. Nothing in this Agreement shall be construed to create an employment, partnership, or agency relationship between the parties.

The Consultant agrees to keep all proprietary information, trade secrets, and business data of the Client strictly confidential during and after the term of this Agreement.

All work product, inventions, and deliverables created under this Agreement shall be the sole property of Verde Foods, Inc. upon receipt of full payment.

Either party may terminate this Agreement with 30 days written notice. Upon termination, the Client shall pay for all services rendered through the termination date.

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware.
