Contractor Classification Notice
The Contractor is engaged as an independent contractor and not as an employee, partner, or agent of the Company. The Contractor shall have no authority to bind the Company or incur obligations on its behalf. This relationship does not create any right to employee benefits, including but not limited to health insurance, retirement plans, or workers' compensation.
1Scope of Services
Design, develop, and launch a custom e-commerce website, including brand identity refresh and product photography direction.
2Compensation
The Company shall pay the Contractor $36,000.00 for the services described herein. Payment shall be made Bi-weekly (every 2 weeks).
3Confidentiality
The Contractor shall maintain the confidentiality of all proprietary information disclosed during the engagement. This obligation survives termination of this Agreement.
4Intellectual Property
All work product created by the Contractor in the course of performing services shall be deemed "work made for hire" and shall belong exclusively to the Company.
Tax Responsibility
The Contractor is solely responsible for all federal, state, and local taxes, including self-employment taxes. The Company will issue a 1099-NEC form to the Contractor for compensation paid during each calendar year. The Contractor acknowledges that no taxes will be withheld from payments made under this Agreement.
5Termination
Either party may terminate this Agreement upon 30 days written notice. Upon termination, the Company shall pay for all services satisfactorily performed through the termination date.
6Indemnification
The Contractor agrees to indemnify and hold harmless the Company from any claims arising from the Contractor's negligence or breach of this Agreement.
