Scope of Services
The Service Provider agrees to perform the services described in the attached Statement of Work.

Compensation & Payment
The Client agrees to compensate the Service Provider according to the payment schedule outlined below.

Term & Termination
Either party may terminate this agreement with 30 days written notice.

Confidentiality
Both parties agree to maintain the confidentiality of proprietary information.

Intellectual Property
All deliverables created under this agreement shall become the property of the Client upon full payment.

Limitation of Liability
The Service Provider's total liability shall not exceed the total compensation paid.
7
Indemnification
This agreement shall be governed by the laws of the State of Texas.
8
General Provisions
Any disputes shall be resolved through binding arbitration in Austin, TX.
