Position: Senior Software Developer
WHEREAS, David Park is employed by Meridian Technologies and will have access to confidential information, trade secrets, and proprietary business knowledge; and WHEREAS, the Employer seeks to protect its legitimate business interests; the parties agree to the following restrictive covenants.
Restrictive Covenants
1.
Non-Competition
During employment and for the Restricted Period following termination (for any reason), Employee shall not directly or indirectly engage in, own, manage, operate, or participate in any business that competes with the Employer within the Geographic Scope defined below.
2.
Non-Solicitation of Clients
Employee shall not solicit, contact, or attempt to divert any client, customer, or account of the Employer with whom Employee had contact or about whom Employee obtained confidential information during employment.
3.
Non-Solicitation of Employees
Employee shall not recruit, solicit, or induce any employee or contractor of the Employer to leave their position or engagement with the Employer.

Geographic Scope
Within 50 miles of any Meridian Technologies office
This includes the greater Seattle, WA and Austin, TX metropolitan areas.
Industry Scope
AI-powered analytics and business intelligence software
Specifically, products that compete directly with Meridian Insights or related analytics platforms.
Consideration
In exchange for Employee's agreement to the restrictive covenants herein, the Employer provides the following consideration: Continued employment, access to proprietary technology and trade secrets, and a one-time retention bonus of $10,000..
4. Confidentiality
Employee agrees to maintain the confidentiality of all trade secrets, business strategies, client lists, pricing information, and other proprietary data both during and after employment.
5. Remedies
Employee acknowledges that a breach of this Agreement would cause irreparable harm. Employer shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.
6. Severability
If any provision is found unenforceable, it shall be modified to the minimum extent necessary to make it enforceable. The remaining provisions shall continue in full force and effect.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of State of Washington.
